FirmAdapt LLC is NOT a registered investment advisor, broker-dealer, or financial planner. All data, scores, ratings, audits, analyses, and content provided through the platform are for informational and educational purposes only and do NOT constitute financial advice, investment advice, trading advice, or any other form of professional advice. You should not make any financial decisions based solely on the information provided by FirmAdapt LLC. Always consult a qualified financial advisor before making investment decisions.

1. Acceptance of Terms

By accessing, browsing, or using the FirmAdapt platform (the "Service"), including the website at firmadapt.com, any associated APIs, and any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

By creating an account, you explicitly confirm your acceptance of these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and FirmAdapt LLC.

2. Description of Service

FirmAdapt is an AI-powered corporate intelligence and equity analysis platform that provides:

• Fundamental, technical, sentimental, and AI disruption impact analysis for publicly traded companies
• Private company audits and analysis
• Website AI readiness and SEO audits
• Faith-based investment screening
• Sector analysis and AI disruption modeling
• Company rankings, scores, valuations, and fair value estimates
• API access for programmatic data retrieval

The Service is intended for informational and research purposes only. It is designed to assist users in their own independent research and analysis process.

3. No Financial Advice Disclaimer

• Investment advice or recommendations to buy, sell, or hold any security
• Financial planning or tax advice
• A solicitation or offer to buy or sell any financial instrument
• Professional advice of any kind

All scores, ratings, valuations, fair value estimates, composite scores, technical signals, and AI-generated insights are computational outputs produced by algorithms and artificial intelligence models. They are subject to errors, limitations, and may not reflect actual market conditions. Past performance indicators do not guarantee future results.

You are solely responsible for your own investment decisions. Always conduct your own due diligence and consult with qualified financial professionals before making any investment decisions.

4. No Warranties and No Guarantees

THE SERVICE AND ALL DATA, CONTENT, ANALYSES, AUDITS, SCORES, RATINGS, AND MATERIALS PROVIDED THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

FirmAdapt expressly disclaims all warranties including, but not limited to:

• Accuracy, completeness, reliability, or timeliness of any data, analysis, score, or audit result
• Freedom from programmatic errors, miscalculations, data processing errors, or algorithmic inaccuracies
• Accuracy or reliability of third-party data sources, data feeds, financial APIs, or upstream data providers
• Fitness for any particular purpose, including investment decision-making
• Uninterrupted or error-free operation of the Service

FirmAdapt does its very best to ensure the highest possible data quality, data integrity, data confidentiality, and data accuracy. However, we rely on third-party data sources and automated processing systems that may contain errors or inconsistencies. We cannot and do not guarantee that any information on the platform is accurate, complete, or current.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIRMADAPT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:

• Your use of or reliance on any data, analysis, audit, score, rating, or content provided by the Service
• Any miscalculation, misrepresentation, programmatic error, data processing error, or algorithmic inaccuracy in the Service
• Any errors, inaccuracies, or omissions in third-party data sources or data feeds used by the Service
• Any investment or financial decisions made based on information obtained from the Service
• Any interruption, suspension, or termination of the Service
• Any misunderstanding or misinterpretation of data, audits, or analyses presented by the Service

In no event shall FirmAdapt's total liability to you exceed the amount you have paid to FirmAdapt in the twelve (12) months preceding the claim. If you have not paid FirmAdapt any amounts, FirmAdapt's total liability shall not exceed fifty U.S. dollars ($50.00).

6. Intellectual Property and Data Usage Restrictions

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes only, subject to these Terms.

You expressly agree that you shall NOT:

• Resell, redistribute, sub-license, or commercially exploit any data, content, or analysis obtained from FirmAdapt
• Re-display, re-publish, or re-broadcast FirmAdapt data on any external website, application, platform, or media channel
• White-label, re-brand, or re-represent FirmAdapt data, scores, analyses, or audits as your own or any third party's work
• Rehypothecate, repackage, or create derivative data products or services based on FirmAdapt data
• Use FirmAdapt data to build, train, or improve competing products or services
• Systematically download, scrape, or extract data from the Service through automated means
• Share account credentials or provide access to the Service to unauthorized third parties

Violation of these data usage restrictions may result in immediate account termination, legal action, and claims for damages.

7. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify FirmAdapt immediately of any unauthorized access to your account

You may only maintain one account per person. FirmAdapt reserves the right to suspend or terminate accounts that violate these Terms.

8. Payments, Credits, and Subscriptions

FirmAdapt offers both free and paid tiers. Paid features are accessed through credit purchases or subscription plans. All payments are processed securely through Stripe.

• All purchases of credits and subscription payments are final and non-refundable, except as required by applicable law
• Credits have no cash value and cannot be transferred between accounts
• Subscription plans renew automatically unless cancelled before the renewal date
• FirmAdapt reserves the right to change pricing at any time with reasonable notice

9. Acceptable Use Policy

You agree not to:

• Use automated scripts, bots, scrapers, or other automated means to access the Service or extract data
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Circumvent, disable, or interfere with any security or access control features
• Use the Service in any way that violates applicable laws or regulations
• Abuse the API beyond rate limits or use it to build competing products
• Interfere with or disrupt the integrity or performance of the Service

10. Termination

FirmAdapt reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, unauthorized data redistribution, fraudulent activity, abuse of the Service, or non-payment.

Upon termination, your right to use the Service ceases immediately. Any credits remaining in your account at the time of termination are forfeited and non-refundable.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of such courts.

13. Changes to These Terms

FirmAdapt reserves the right to modify or update these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Effective Date" at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

14. Indemnification

You agree to indemnify, defend, and hold harmless FirmAdapt LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of any third party.
